Santa Clara County Alliance Member Donna Spagna and special guest (on left) Rose Simmons, Chief Operating Officer of the American Cancer Society San Francisco Bay Area cut the ribbon at the newly refurbished Wig Bank at the American Cancer Society Office in Campbell, California. The photo on the right shows the huge mirror donated by the Alliance. Many Alliance women have stepped up to the sink to be wig washing women including Alliance member Sally Normington and Donna who take a selection of these wigs to offer to women at the Stanford Cancer Center each month. Special kudos to Cambrian Mirror and Glass for a beautiful job on the beveled mirror.

New Bylaws approved at the General Meeting of the SCCMA Alliance
SANTA CLARA COUNTY MEDICAL ASSOCIATION ALLIANCE
BYLAWS
Article I. Name
The name of this organization shall be the Santa Clara County Medical Association Alliance (hereinafter referred to as the Alliance), with the tag line-“Committed to Improving the Health & Quality of Life in Our Community”.
Article II. Purposes
The purpose of this Alliance shall be exclusively educational and charitable.
They shall be:
a) To improving the health and quality of life in our community;
b) To offer friendship and support for the medical family;
c) To promote health education;
d) To encourage participation of volunteers in health related and charitable endeavors;
e) To uphold the programs of the California Medical Association-Alliance and the American Medical Association-Alliance (herein after referred to as the CMAA and the AMAA respectively); and
f) To work in collaboration with the Santa Clara County Medical Association (SCCMA) in programs for the advancement of medicine and public health.
Article III: Membership
The regular members of this Alliance shall consist of:
a) The spouse/ domestic partner of a physician who is a member or is eligible to be a member of the SCCMA/ California Medical Association (CMA);
b) The spouse/ domestic partner of a retired or deceased physician who is/was a member, or was eligible to be a member of the SCCMA/CMA at the time of physician’s retirement;
c) A physician, physician in training who is a member, or is eligible to be a member of the SCCMA/CMA or a member of any state medical association;
d) A spouse/domestic partner of an intern, resident, or fellow who is a member, or is eligible to be a member of the SCCMA/CMA or a member of any state medical association
e) A medical student, and/or the spouse/ domestic partner of a medical student,
The associate members of this Alliance shall be:
- A “Friend of the Alliance” who is a member of the community and is sponsored annually by a regular member of the Alliance. This member will receive official publications, may be an officer other than president.
Article IV: Dues
a) Dues for all categories of membership shall be determined by the Alliance and shall remain in effect until changed by recommendation of the Board of Directors.
b) CMAA and AMAA dues shall be transmitted as soon as possible after being received to their respective offices.
Article V. Fiscal Year
The fiscal year shall be from July 1 to June 30.
Article VI: Meetings
A general membership meeting shall be held at least once a year and shall be held for the purpose of amending the Bylaws, conducting any business of the organization and electing officers and/or CMAA contact people.
Article VII: OFFICERS
The elected officers of the Alliance shall be a CMAA contact person/designated County Alliance leader and Financial Officer who will oversee the finances of the organization.
a) Optional elected officers shall be President, President-elect, Health Programs, Membership, Secretary, Treasurer
b) If no designated leaders are identified, the Alliance may be governed by a Steering Committee appointed by the previous elected officers and ratified by the membership at their next voting meeting.
c) A nominating committee consisting of the Past President/County Alliance leader and at least one additional member shall be elected by the general membership to present a slate of eligible candidates for the following year. Additional nominations may be made. The election process shall be through correspondence or at the general meeting.
Article VIII: Board of Directors
The officers/leaders of the Alliance constitute the Board of Directors or Steering Committee, which shall have general supervision of the affairs of and shall be responsible for the financial oversight of the Alliance.
Article IX: Committees
The committees of the Alliance shall be dependent on the needs of the purposes of the Alliance and shall be so designated at the discretion of the President and/or Board of Directors or Steering committee.
Article X: Bylaws Amendments
These Bylaws may be amended by two-thirds (2/3) vote of the members present and voting, and provided that the complete text of the proposed changes have been submitted in writing to the membership at least 15 days prior to the general membership meeting and provided that they are approved by the CMAA Bylaws Committee.
Article XI: PARLIAMENTARY AUTHORITY:
The conduct of all meetings shall be in accordance with the latest revision of Roberts Rules of Order- Newly Revised Edition.
Article XII: DISPOSITION OF ASSETS
The Alliance is one which does not contemplate pecuniary gain or profit to the members thereof. It is organized solely for nonprofit purposes. Upon the dissolution of this organization, after paying or adequate providing for the debt and obligations of this organization the remaining assets shall be distributed to the SCCMA, a California nonprofit corporation, or its successor; or in event said Alliance is not in existence, and does not have a successor, then said assets and property shall be conveyed and transferred to such nonprofit charitable organization as the Board of Directors or Steering Committee of this organization shall determine and which said nonprofit charitable organization has established its tax-exempt status under Section 501(c)(3), (or subsequent ruling) of the Internal Revenue Code.
Article XIII. Advisory Council
The Alliance shall be guided by the SCCMA and CMAA.
